Terms of Service

Conditions governing the use of the KAIXO application. Read them before you start using the app.

1. Parties and KAIXO ownership

The KAIXO application (hereafter, "the App") is intellectual property of Víctor Manuel Lasheras Benito (hereafter, "the Rights Holder").

Its commercialization, operation, support and provision of services to users are carried out by Ideia Soluciones Tecnológicas S.A.C. (hereafter, "Ideia" or "we") under an exclusive commercialization license granted by the Rights Holder. Said license is automatically renewable on an annual basis until unilateral cancellation by the Rights Holder, as detailed in section 8.

These Terms regulate the relationship between Ideia and the end user who downloads, installs or uses the App. By using KAIXO, the user enters into a service contract with Ideia.

2. Acceptance of terms

By creating an account or using KAIXO you fully accept these Terms and our Privacy Policy. If you do not agree, do not use the App.

These Terms constitute a binding contract. We recommend you keep a copy.

3. Your account

• To use most features you must create an account by providing a valid phone number and a password.
• You are responsible for keeping your password confidential and for all activity under your account.
• You must be at least 13 years old to use KAIXO. Between 13 and 16, where local law requires it, you need consent from your legal guardian.
• You may not transfer your account to a third party without our written consent.

4. Acceptable use

By using KAIXO you agree NOT to:

• Send illegal, defamatory, obscene, threatening, racist content, content inciting violence, or content that infringes third-party rights.
• Impersonate another person, company or organization.
• Distribute spam, unsolicited advertising or unauthorized commercial content.
• Upload content containing viruses, malware or other harmful code.
• Use the App for fraudulent activities, money laundering or any illegal activity.
• Reverse-engineer, decompile or attempt to access the source code.
• Automate use (bots, scraping) without explicit written authorization.
• Use the App to violate third-party intellectual property rights.
• Interfere with normal service operation or attempt to compromise its security.

Breach may result in immediate suspension or termination of your account without refund (section 9).

5. User content

You retain ownership of all content you upload to KAIXO (messages, photos, videos, posts). By uploading it you grant us a limited, non-exclusive, royalty-free license to store, transmit and process it solely as necessary to provide the service (including AI translation and backups).

This license terminates when you delete the content or close your account.

You are solely responsible for the content you upload and its consequences. Ideia reserves the right to remove content that breaches the Terms without prior notice.

6. Paid plans and billing

6.1. Free plan

There is a free plan with basic features and usage limits (messages, translations, AI calls). No card required.

6.2. Paid plans

Paid plans are contracted via monthly or annual subscription, charged in advance through Stripe. Renewal is automatic unless the user explicitly cancels.

6.3. Cancellation and refunds

• You can cancel your subscription at any time from the app. Cancellation takes effect at the end of the current period.
• Partially consumed periods are not refunded except where consumer protection legislation requires it (e.g., 14-day right of withdrawal in the EU for users who have not consumed digital content).
• If Ideia terminates your account for breach, no refund applies.

6.4. Price changes

We may modify plan prices with at least 30 days' notice. If you do not accept the new price, you can cancel before the next renewal.

7. Artificial intelligence services

KAIXO uses third-party AI services (Anthropic Claude, OpenAI, Deepgram) to translate messages, transcribe audio and synthesize voice. Full details in our AI use statement.

8. Intellectual property

The name, brand, logo, design, source code, database, editorial content and other elements of the App are intellectual property of Víctor Manuel Lasheras Benito and are protected under applicable intellectual property law.

Ideia Soluciones Tecnológicas S.A.C. operates and commercializes the App under an exclusive license granted by the Rights Holder. Said license is automatically renewable on an annual basis until unilateral cancellation by the Rights Holder at any time, by express notice with the contractual notice period agreed between the parties.

The user only obtains a limited, non-exclusive, non-transferable and revocable license to use the App according to these Terms. No intellectual property rights are transferred to the user.

Copying, modifying, distributing, sublicensing, publishing or creating derivative works of the App without the Rights Holder's express written authorization is prohibited.

9. Suspension and termination of accounts

Ideia may suspend or terminate your account, in whole or in part, without refund or compensation in case of:

• Serious breach of these Terms.
• Detected fraud or unlawful use of the App.
• Request by a competent judicial or administrative authority.
• Serious risk to the security of other users or the service itself.

The user can cancel their account at any time following the instructions at delete account.

10. Warranties and liability limitation

KAIXO is provided "as is" and "as available". To the maximum extent permitted by applicable law, Ideia and the Rights Holder do not warrant that the App is error-free, uninterrupted or completely secure.

Ideia shall not be liable, except where mandatory law requires it, for indirect damages, loss of profit, data loss, reputational damage or any other consequential damage arising from the use or inability to use the App.

Ideia's maximum aggregate liability to the user for any claim arising from the service is limited to the amount paid by the user in subscriptions during the twelve (12) months prior to the event giving rise to the claim.

These limitations do not apply where mandatory consumer protection law in the user's country of residence prevents limitation of liability.

11. Changes to terms

We may update these Terms when functionalities, providers or regulations change. If changes are substantial we will notify through the app or email at least 14 days in advance. Continued use of KAIXO after changes implies acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Peru, except where mandatory consumer protection legislation of the user's country of residence provides otherwise.

For any dispute, the parties submit to the Courts of the Huaura judicial district, Lima, Peru, except where the user is a consumer residing in another country, in which case mandatory rules of their domicile may apply.

For users residing in the European Union, access to available out-of-court dispute resolution procedures and the jurisdiction of the user's country courts (where mandatory) is not waived.
